Terms of Service

1. Acceptance of Terms

By accessing or using PropManage (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

PropManage provides a cloud-based property management platform that enables users to manage rental properties, tenants, leases, payments, maintenance requests, and related activities.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscription Plans, Billing, and Auto-Renewal

Access to the Service is provided through paid subscription plans. This Section 4 governs the fees you pay PropManage for the Service. It is separate from the processing of rent and other payments your tenants make to you, which is covered by Section 8. Subscription payments are processed by our third-party payment processor, Stripe.

4.1 Plans and Automatic Renewal

Subscriptions are offered on a monthly or annual billing period, depending on the plan and interval you select. Your subscription renews automatically at the end of each billing period at the then-current price, and you authorize PropManage and Stripe to charge your payment method on file for each renewal, until you cancel. You may cancel at any time as described in Section 4.8.

4.2 Free Trial (Starter Plan)

New Starter subscriptions include a 90-day free trial. A valid payment method is required to begin the trial, but you will not be charged during the trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the end of the trial and your payment method will be charged the then-current Starter price. We send reminder notices by email before your trial ends. Free trials are limited to the Starter plan and to new customers.

4.3 How We Count Units (Peak-Unit Overage)

Plans include a set number of units, and plans with overage pricing charge a per-unit fee for units above that amount. The following rule governs how units are counted for billing:

You pay for the most units you managed at any point during a monthly billing period (your peak), not the number of units on your billing date. Adding units above your plan’s included amount adds a per-unit charge for that month; removing them later in the same month does not reduce it. Each month starts fresh — a one-time spike is billed once, not every month after.

4.4 Upgrades, Downgrades, and Proration

When you upgrade to a higher plan, the change takes effect immediately and you are charged a prorated amount for the remainder of the current billing period. When you downgrade to a lower plan, the change takes effect at the end of the current billing period, and any applicable prorated credit is applied to future charges. Proration is calculated by Stripe. Changes in your unit count during a billing period are handled under Section 4.3.

4.5 Price Changes

We may change subscription prices from time to time. For any change that increases the recurring price of your plan, we will provide at least 30 days' notice by email or through the Service before the change takes effect on your next renewal. If you do not agree to a price change, you may cancel before it takes effect; continued use of the Service after the change takes effect constitutes acceptance of the new price.

4.6 Taxes

Subscription prices are exclusive of taxes unless stated otherwise. Applicable sales, use, or similar taxes are calculated and collected by Stripe Tax based on your billing location and added to your charges. You are responsible for any such taxes, other than taxes based on PropManage's net income.

4.7 Failed Payments, Dunning, and Suspension

If a payment fails, Stripe will automatically retry the charge over a grace period of 14 days, during which you retain full access to the Service. If payment is still not received after the grace period, your account enters a read-only state for an additional 14 days before the subscription is suspended. You can restore full access at any time by updating your payment method and paying the outstanding balance.

Your data is never deleted because of non-payment. Even while an account is read-only or suspended, your data is retained, and you may export your data at any time. Deletion of data occurs only as described in our Privacy Policy or when you affirmatively delete it or close your account.

4.8 Canceling Your Subscription

You may cancel your subscription at any time from your account settings. Cancellation stops future renewals; unless otherwise stated, your subscription remains active through the end of the billing period you have already paid for, after which it will not renew.

4.9 Refunds

Monthly plans. Monthly subscription fees are non-refundable, including for partial billing periods and for periods during which the account was unused. When you cancel a monthly plan, you keep access through the end of the billing period you have already paid for, and the plan does not renew.

Annual plans. If you cancel an annual plan within 30 days of the date you were charged, you may request a full refund of that annual charge. After the 30-day window, the annual fee is non-refundable; you may cancel to stop future renewals and will retain access through the end of the paid annual term.

Per-unit overage charges reflect usage that has already occurred and are non-refundable. Nothing in this section limits any refund or cancellation right that applicable law grants you and that cannot be waived.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Transmit any malicious code or attempt to hack the Service
  • Interfere with or disrupt the Service
  • Impersonate any person or entity
  • Collect user information without consent
  • Use the Service to send spam or unsolicited messages

6. Data and Content

You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a license to use, store, and process your data solely to provide the Service to you.

You are responsible for ensuring you have the right to upload and share any data or content on the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by PropManage and are protected by international copyright, trademark, and other intellectual property laws.

8. Tenant Rent Payment Processing

Separately from your subscription (Section 4), the Service offers optional features that let you collect rent and other payments from your tenants through Stripe. If you use these features:

  • You agree to Stripe's applicable terms of service, and payments are subject to Stripe's processing and payout timelines
  • Transaction fees will be deducted as specified in your plan or by Stripe
  • PropManage facilitates the movement of funds but is not a bank, escrow agent, or party to your lease; we are not responsible for disputes, chargebacks, or reversals between you and your tenants
  • Funds are typically deposited within 2-5 business days, subject to Stripe

9. Third-Party Services

The Service may integrate with third-party services (such as QuickBooks, Stripe, or e-signature providers). Your use of these services is subject to their respective terms of service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPMANAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

12. Indemnification

You agree to indemnify and hold harmless PropManage and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account for a material breach of these Terms. Non-payment is handled under Section 4.7. Upon termination, your right to use the Service will cease, and, as described in Section 4.7 and our Privacy Policy, you will continue to be able to export your data for a reasonable period before deletion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Columbus, Ohio, in accordance with the rules of the American Arbitration Association. To the extent any dispute is not subject to arbitration, the state and federal courts located in Franklin County, Ohio shall have exclusive jurisdiction and venue.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
